This Consulting Retainer Agreement (the "Agreement") is entered into between:

Consultant: Roebling Innovation & Consulting LLC , located at 2801 NE 183rd St Suite 108 Aventura FL 33160
Effective as of [Date] (the "Effective Date"), the parties agree as follows:
1. Scope of Work
Client is engaging Consultant on an ongoing retainer basis to provide operational and strategic consulting services, which may include:
- Operational diagnostics and audits
- Supply chain and fulfillment strategy
- Inventory and margin planning
- Tech stack and systems optimization
- 3PL selection and transition
- SOP creation and team training
- Org design, delegation, and hiring support
- Ecommerce and launch logistics
- General operational oversight and founder support
This engagement includes an initial Diagnostic Phase, which is embedded into the overall retainer structure and not billed separately.
2. Term & Termination
This Agreement begins on the Effective Date and continues on a month-to-month basis. Either party may terminate this Agreement by providing 30 days written notice.
3. Fees and Payment
The Client agrees to pay the Consultant a monthly retainer fee of [________], invoiced after engagement begins. Payment is due within 7 days of invoice.
Any additional services outside of scope (e.g. in-person travel, ad hoc team training, or special projects) will be scoped and quoted separately and require written approval.
4. Confidentiality
Both parties agree to keep all non-public business, technical, or financial information confidential and not disclose it to any third party without prior written consent.
Consultant is happy to sign a Client-provided non-disclosure agreement (NDA) if requested.
5. Intellectual Property
All final deliverables created by the Consultant under this Agreement will be the property of the Client. Consultant retains the right to reuse frameworks, tools, and anonymized insights in future work.
6. Independent Contractor
Consultant is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee relationship, joint venture, or partnership.
7. Governing Law
This Agreement will be governed under the laws of the State of Florida, without regard to its conflict of law principles.
